Job Description:

Purpose of Position
The Associate Counsel will be responsible for handling a variety of business/corporate law issues including analyzing risk, advising the organization on legal matters and handling complex commercial transactions and other corporate matters.

Tasks and Responsibilities
  • Assist with/manage a wide variety of complex business law issues, including advising business partners on contract rights and other matters.
  • Assist with all legal aspects, including due diligence, associated with mergers and acquisitions.
  • Manage various contract negotiations with manufacturers and vendors;includes managing outside counsel on such matters when appropriate.
  • Review and prepare NDAs.
  • Provide legal advice, counsel and service to internal business clients concerning a variety of legal matters, including rights, risks, and obligations.
  • Research and analyze laws, regulations and related cases.
  • Assist in review, drafting and negotiation of all types of contracts, letters of agreement and other related documents.
  • Work closely with cross-functional teams, including senior management.
  • Conduct risk assessments on various business and contract issues.
  • Handle other legal issues as needed.

  • Experience in all aspects of business law.Law firm or in-house experience at a large corporation.
  • Excellent oral and written communication skills.
  • Experience drafting and administering letters of agreement, contracts, and corporate documents.
  • Experience with contract negotiations.
  • Excellent understanding of business issues and their connection to changing legal landscapes.
  • Excellent risk assessment skills and the ability to explain such risks clearly.
  • Effectively partner with and counsel business partners; must work well with outside counsel.
